Rules for using RiskAI by Visualify
These Terms of Service ("Terms") govern your use of RiskAI, a product offered by Visualify ("Visualify", "we", "us"). By accessing or using RiskAI, you agree to these Terms. If you do not agree, do not use RiskAI.
If you use RiskAI on behalf of a company or other organisation, you confirm that you have authority to bind that organisation to these Terms. In that case, "Customer" means the organisation using RiskAI.
1. Scope and definitions
For these Terms:
- "RiskAI" or the "Service" means the RiskAI software and related online features provided by Visualify.
- "Customer" means the organisation that uses RiskAI under these Terms.
- "Authorised User" means a person permitted by the Customer to access the Customer's RiskAI workspace.
- "Customer Workspace Data" means project and workspace information submitted to or generated within a Customer's RiskAI workspace, consistent with the Privacy Policy—including, for example, projects, risk registers, assumptions, cost and schedule inputs, mitigations, simulation results, locked reporting snapshots, historical risk positions, reports, and related commentary.
2. The service
RiskAI is project-risk management and quantitative decision-support software. Depending on configuration and product stage, it may support functions such as:
- Project risk registers
- Risk inputs and assumptions
- Mitigation tracking
- Monte Carlo cost and schedule simulation
- Quantitative risk analysis
- Reporting
- Locked reporting snapshots
- Historical risk positions
- Project-risk insights
- Optional AI-assisted functionality
Visualify may improve, update, or modify RiskAI over time for security, reliability, and product development. We will not materially remove paid functionality without reasonable notice, except where required for security, legal, or operational reasons.
3. Accounts, workspaces and authorised users
The Customer is responsible for:
- Deciding who is authorised to access its workspace
- Keeping user access current
- Protecting credentials and account security
- Promptly notifying Visualify of suspected unauthorised access
- Activity performed through its authorised accounts, except where caused by Visualify or circumstances outside the Customer's reasonable control
- Providing accurate account information
The Customer must not intentionally provide access to unauthorised third parties.
4. Customer responsibilities and inputs
The Customer controls:
- Project information entered into RiskAI
- Risk descriptions
- Assumptions
- Cost and schedule inputs
- Mitigation information
- Users and access permissions
The Customer is responsible for ensuring it has the necessary rights and permissions to submit information to RiskAI.
RiskAI outputs depend on the quality, completeness, and currency of Customer inputs. Incomplete, inaccurate, or outdated information may materially affect simulation and reporting results.
5. Quantitative analysis, Monte Carlo simulation and AI
Quantitative simulation
RiskAI's core quantitative risk calculations and Monte Carlo simulations do not require generative AI. The simulation engine calculates probabilistic outputs using Customer-provided inputs, assumptions, and configured methodology.
Outputs such as P50, P90, cost exposure, schedule exposure, distributions, and other probability-based metrics are estimates of uncertainty. They are not guarantees of actual project outcomes. Historical performance, simulation results, or reported percentiles do not guarantee future project performance.
RiskAI supports professional project decision-making but does not replace appropriate professional judgement. Depending on the decision, that may include project management, risk management, commercial/cost management, programme/schedule management, engineering, financial, legal, or other professional advice.
Optional AI-assisted features
Certain optional RiskAI features may use AI to help analyse, organise, summarise, or explain information. AI outputs may be incomplete or inaccurate. Users must review AI-generated information before relying on it.
6. Acceptable use
Users must not:
- Break applicable law
- Infringe third-party rights
- Submit information they are not permitted to process
- Attempt to gain unauthorised access to RiskAI, Customer workspaces, or related systems
- Probe, scan, attack, or disrupt Visualify systems
- Interfere with another Customer's workspace
- Bypass security or access controls
- Reverse engineer the Service except where applicable law expressly permits it
- Extract or copy source code, models, or proprietary logic
- Use RiskAI to build or train a directly competing product using Visualify proprietary materials
- Resell or sublicense access without Visualify's written permission
7. Customer content and ownership
Customers retain ownership of Customer Workspace Data and other content they submit. The Customer grants Visualify only the rights reasonably required to host, store, process, transmit, reproduce as technically required, and display that content for the purpose of providing, supporting, and securing RiskAI.
Visualify may use aggregated or de-identified information for product performance and improvement where that information does not identify a Customer, user, or project, consistent with the Privacy Policy.
8. Confidentiality
"Confidential Information" includes non-public business, commercial, technical, and project information disclosed through or in connection with RiskAI. Customer Workspace Data may contain commercially sensitive project information and is treated accordingly.
Each party will:
- Use the other party's Confidential Information only for purposes connected with RiskAI
- Protect it using reasonable care
- Disclose it only to personnel and service providers who need access and are subject to appropriate confidentiality obligations
Confidential Information does not include information that:
- Is publicly available through no breach of these Terms
- Was already lawfully known to the receiving party
- Is received lawfully from a third party without confidentiality restrictions
- Is independently developed without use of the other party's Confidential Information
A party may disclose the other party's Confidential Information where required by law, regulation, court order, or a competent authority. Where legally permitted, the receiving party will give reasonable notice before disclosure and will disclose only the information reasonably required to comply with that obligation.
9. Privacy
Personal information is handled in accordance with the Visualify Privacy Policy. These Terms do not replace the Privacy Policy.
10. Visualify intellectual property
Visualify or its licensors retain ownership of RiskAI software, simulation methodology and implementation, platform design, branding, documentation, and proprietary models, code, and materials. No ownership rights are transferred to the Customer except the limited right to use RiskAI under these Terms.
Visualify does not claim ownership of Customer project information.
11. Availability and disclaimers
RiskAI is provided on an "as available" basis. Visualify does not guarantee uninterrupted operation, that RiskAI will be completely error-free, that every feature will meet every Customer-specific requirement, or that quantitative outputs will match actual project outcomes.
Nothing in these Terms excludes guarantees, warranties, rights, or remedies that cannot lawfully be excluded.
12. Liability
Subject to rights or liabilities that cannot legally be excluded or limited, and to the fullest extent permitted by law:
- Visualify is not liable for indirect, incidental, special, or consequential loss
- Visualify is not liable for loss of anticipated profit, revenue, goodwill, or business opportunity
- Visualify's aggregate liability arising out of or relating to RiskAI is limited to the fees paid or payable by the Customer for RiskAI during the 12 months immediately preceding the event giving rise to the claim
If RiskAI is provided as a free pilot or where no fees have yet been paid, Visualify's aggregate liability under these Terms is limited to one thousand Australian dollars (AUD $1,000), except where the law requires otherwise.
Where legally permitted and applicable to services supplied to a business, Visualify's liability for failure to comply with a statutory consumer guarantee may be limited to supplying the services again, or paying the cost of having the services supplied again.
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot legally be limited.
13. Indemnity
The Customer will indemnify Visualify against third-party claims arising from Customer content that unlawfully infringes third-party rights, unlawful use of RiskAI, or deliberate or prohibited misuse of the Service—subject to Visualify's prompt notice and the Customer's reasonable cooperation.
This indemnity does not require the Customer to indemnify Visualify for loss caused by Visualify's own negligence, breach, fraud, or wilful misconduct.
14. Suspension
Visualify may suspend access where reasonably necessary because of:
- Material breach of these Terms
- Genuine security risk
- Suspected unauthorised or unlawful activity
- Risk to other Customers or the Service
- Legal or regulatory requirement
- Non-payment once paid subscriptions apply
Where reasonably practicable, Visualify will notify the Customer and provide an opportunity to remedy the issue before suspension. Immediate suspension may occur where urgent action is reasonably required for security, legal, or service-protection reasons.
15. Termination
Customers may stop using RiskAI at any time, subject to any separate commercial agreement that may apply.
Visualify may terminate access for:
- Material breach not remedied within a reasonable period after notice
- Serious or repeated misuse
- Legal requirement
- Security reasons
- Discontinuation of the Service, with reasonable notice where practicable
On termination, access to RiskAI may end. Customer data will be handled in accordance with the Privacy Policy and any applicable contractual, legal, and backup-retention requirements. Clauses intended to survive termination continue, including confidentiality, intellectual property, and liability provisions.
16. Accounts, trials, subscriptions and billing
Accounts and Project trial
Visualify may allow you to create a RiskAI account without immediate payment. Where offered, a Project may include a 28-day free trial. You may add payment details during the trial. Adding payment details during the trial does not cause an immediate charge. The first paid charge occurs when the 28-day trial ends, unless you cancel before then or the trial ends without a valid payment method.
Subscription plans and renewal
Paid RiskAI access is offered on monthly and annual subscription plans. Unless otherwise agreed in writing:
- Subscription fees are charged in advance for the relevant billing period
- Payments may be processed by Stripe or another payment provider appointed by Visualify
- Subscriptions renew automatically until cancelled—monthly subscriptions renew monthly, and annual subscriptions renew annually
- Cancellation before a renewal date prevents the next renewal charge
- Failed or overdue payment may cause paid access to be suspended until payment is resolved
- Pricing changes apply from a future renewal and Visualify will give reasonable notice before they take effect
Annual early cancellation
Annual subscriptions are paid upfront at the annual discounted price. If you cancel during an annual period, Visualify recalculates the used period using the normal monthly subscription price that applied when the annual subscription was purchased. Each commenced month counts as a used month. Visualify refunds the remaining unused balance from the annual payment. The refund cannot exceed the amount originally paid, and early cancellation must never create an additional amount payable by you solely because you cancelled. If the monthly-equivalent value of the used months has already reached the annual amount paid, no early-cancellation refund remains.
Refunds and other commercial agreements
Refunds are governed by the Refund Policy. Nothing in these Terms excludes rights that cannot legally be excluded under applicable Australian law, including the Australian Consumer Law where it applies.
Where another written agreement expressly conflicts with these Terms, the specifically agreed commercial terms govern that conflict.
17. Changes to RiskAI and the Terms
Visualify may update RiskAI and these Terms from time to time. For material changes to the Terms, Visualify will provide reasonable notice by email, in-product notice, or another reasonable method. Changes apply from the stated effective date.
Minor or administrative updates may be published by updating the effective date on this page.
18. Governing law
These Terms are governed by the laws of New South Wales, Australia. The courts of New South Wales have non-exclusive jurisdiction, subject to any mandatory rights that apply under other laws.
